Terms of use
1. About these terms
These terms apply to your use of app.atlasfinance.global and atlasfinance.global (the Platform), operated by Jayrise Investments Limited trading as Atlas Finance Global ("Atlas", "we", "us"), company number 125012, registered office Suite 4.3.02, Block 4, Eurotowers, Gibraltar GX11 1AA. By creating an account you agree to them. Our Privacy notice explains how we use personal information. Specific fee or engagement letters agreed with you on a deal take priority over these terms where they differ.
You must be at least 18 and acting in the course of a business (including as a director, officer or adviser of a business) to use the Platform.
2. What Atlas does, and does not do
- Atlas helps borrowers and introducers prepare finance enquiries, underwrites them, and matches them to lenders on our panel. We also connect deals with professionals such as valuers and solicitors.
- Atlas is not a lender and does not decide whether a lender will lend.
- Atlas does not give advice. Information, figures, summaries, lender counts and AI-generated content on the Platform are indicative and are not financial, investment, legal, tax or valuation advice. You should take your own independent advice.
- Unregulated finance only. We arrange commercial finance that is not regulated by the Financial Conduct Authority (for example, loans to companies, development finance, commercial property, business and asset finance). We do not arrange regulated mortgages or consumer credit. If an enquiry appears regulated, for example a loan secured on a home that the borrower or their family lives in, we will not send it to lenders. With your consent, we will refer you to a regulated partner, who will deal with you directly under their own terms.
- Nothing on the Platform is an offer of finance. An offer exists only when a lender issues terms, and it binds only on the lender's own documents.
3. Your account
- Keep your login details secure and do not share your account. Tell us at once if you think someone else has used it.
- Lender and professional accounts are subject to verification and approval by Atlas. We may refuse, suspend or close an account where we reasonably believe it is being misused, information is false, or we are required to by law.
4. Information you provide
- You confirm that information and documents you provide are accurate, complete and not misleading, and that you are entitled to share them, including information about other people (see our Privacy notice).
- We treat figures you give us as claims and check them where we can. Lenders rely on the underwritten position, so please correct anything that changes.
- You give us permission to use, copy and share your deal information with lenders, professionals and service providers as needed to arrange your finance, as described in our Privacy notice.
5. Borrowers
- Fees. Atlas's broker fee is set out in the fee letter or terms we agree with you on the deal and is payable on completion unless that letter says otherwise. Lenders may also pay Atlas a fee; we will tell you where this happens.
- Introduced lenders. If, within 12 months of Atlas introducing a lender to your deal, you (or anyone connected with you) complete finance with that lender or its group for the same or a substantially similar transaction without Atlas, our broker fee remains payable as if we had arranged it.
- You decide whether to accept any terms. Atlas is not responsible for a lender's decision, its terms or its conduct.
6. Introducers
- Your share. On every deal you introduce that completes, you receive 50% of the broker fee Atlas actually receives on that deal. Any fee you agree directly with your own client is yours to keep, provided you disclose it to them.
- Lender recommendations. If you recommend a lender that is not already on our panel and we add it, you are tagged to that lender for 24 months from the date we confirm it. You receive a royalty on loans completed with that lender during that period: 10% of Atlas's net broker fee in months 1 to 12, and 5% in months 13 to 24. "Net broker fee" means the broker fee Atlas actually receives on the loan, excluding VAT, less any introducer share paid on the same deal. Where two people recommend the same lender, the first recommendation we confirm applies.
- Payment. Commission and royalties become due once Atlas has received its fee in cleared funds, and are paid within 2 working days after that, against a VAT invoice where applicable. If a fee is refunded or clawed back, the related commission is reduced accordingly.
- You must have your client's permission to submit their deal and information, comply with any rules that apply to you (including disclosing to your client any fee you receive), and not make promises on behalf of Atlas or any lender.
7. Lenders
- Deals released to you are confidential. Use them only to decide whether to lend and to issue terms. Do not share them except with your advisers and funders under equivalent confidentiality.
- Until your terms are accepted through the Platform, do not contact the borrower or introducer about a deal other than through the Platform. If you complete with a borrower or introducer first introduced to you by Atlas, within 12 months of that introduction, the fees agreed with Atlas for that deal remain payable.
- Keep your lending criteria up to date. We use them to decide which deals to send you.
- Terms you issue are your own; you are responsible for your credit decisions and for complying with the rules that apply to you.
8. Professionals
- Quotes you give through the Platform are offers to the client on the terms stated (fee, VAT, turnaround and validity). Your engagement is directly with the client on your own terms of business.
- You confirm that your accreditations and professional indemnity cover are as stated and current. Tell us promptly if they change.
- Deal information shared with you is confidential and for quoting and carrying out your instruction only.
9. Acceptable use
You must not misuse the Platform. This includes uploading unlawful, fraudulent or malicious content; trying to access deals, accounts or data that are not yours; copying or scraping the Platform, lender panel or deal data; reverse-engineering the Platform; or using it to send unsolicited marketing.
10. AI features
The Platform uses AI to gather information, summarise documents, read term sheets and suggest lenders. AI output can be wrong. A person at Atlas reviews every deal before it reaches a lender, but you should check anything that matters to you and not rely on AI output as advice.
11. Intellectual property
The Platform, its software, design, lender panel and underwriting methods belong to us or our licensors. You keep ownership of the documents and information you upload and give us the permissions in section 4.
12. Our liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
- We are not liable for: a lender's decision, terms or failure to complete; losses arising from information you or third parties provide being inaccurate; loss of profit, business, opportunity or goodwill; or indirect or consequential loss.
- Otherwise, our total liability to you in connection with the Platform and any deal is limited to the fees Atlas has actually received from you on the deal concerned in the 12 months before the claim, or £1,000 if greater.
- We aim to keep the Platform available and secure but cannot promise it will always be uninterrupted or error-free.
13. Ending your use
You can close your account at any time by emailing us. Sections that are meant to continue (including fees on deals already introduced, confidentiality, introduced-lender protection and liability) continue after closure.
14. Changes
We may update these terms. We will show the date of the latest version above and tell account holders about significant changes. Continuing to use the Platform after a change means you accept it. Changes do not affect fees on deals already completed.
15. Law and disputes
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
